Terms of Service

These Terms of Service govern your use of the Clever Role platform. Please read them carefully before using our services.
1. Agreement
By accessing or using the Clever Role platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
2. Use of the Service
You may use Clever Role for lawful business purposes only. You must not use the Service to violate any applicable law, infringe third-party rights, transmit harmful content, attempt to gain unauthorised access, or reverse-engineer the platform. We reserve the right to suspend accounts that violate these terms.
3. Accounts and security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@cleverrole.com if you suspect unauthorised access. We are not liable for losses resulting from compromised credentials where you have not notified us.
4. Subscriptions and billing
Subscriptions are billed in advance on a monthly or annual basis. All fees are exclusive of taxes unless stated otherwise. We reserve the right to change pricing with 30 days notice. Refunds are not provided for partial subscription periods unless required by applicable law. Overdue accounts may be suspended.
5. Intellectual property
Clever Role retains all intellectual property rights in the platform, including its software, design, data models and Roles. You retain ownership of data you upload or connect to the platform. By using the Service you grant us a limited licence to process your data solely for the purpose of delivering the Service.
6. Third-party integrations (Connected Services)
Clever Role supports optional connections to third-party services including Google Workspace ("Connected Services"). By connecting a third-party service you authorise Clever Role to access that service on your behalf using OAuth credentials or API keys. You are responsible for ensuring you have the authority to grant such access and that doing so complies with the applicable service's terms and policies. Clever Role accesses Connected Services only to the extent necessary to provide the features you have enabled. You may disconnect any Connected Service at any time via Roles → Settings → Connected Services. Access tokens associated with Connected Services are stored securely and revoked upon disconnection. Our use of Google user data obtained through Connected Services is limited to delivering your selected Clever Role services, adheres to the Google API Services User Data Policy, and is subject to the restrictions described in our Privacy Policy.
7. Limitation of liability
To the maximum extent permitted by law, Clever Role's total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you in the 12 months preceding the claim. We exclude all liability for indirect, consequential or incidental losses.
8. Warranties
The Service is provided "as is" without warranties of any kind, express or implied, except as required by applicable law. We do not warrant that the Service will be uninterrupted, error-free or meet your specific requirements. We will use commercially reasonable efforts to maintain 99.9% uptime, but do not guarantee it.
9. Termination
Either party may terminate the agreement at any time. On termination, your access to the Service will cease. We will retain your data for 30 days following termination, after which it may be deleted. Sections relating to intellectual property, liability and governing law survive termination.
10. Governing law
These Terms are governed by the laws of New Zealand. Any disputes shall be submitted to the exclusive jurisdiction of the courts of New Zealand. We reserve the right to seek injunctive relief in any jurisdiction.
